1. Agreement
These Terms of Service ("Terms") govern access to and use of AutoSync Shop Manager (the "Service") provided by AutoSync Shop Manager, LLC ("AutoSync", "we", "us"). By creating an account or using the Service on behalf of a business ("Customer", "you"), you agree to these Terms and confirm you are authorized to bind that business.
2. Accounts and users
You are responsible for the users you invite, the roles and permissions you assign them and all activity under your account. Keep credentials confidential and enable two-factor authentication where available. Notify us promptly of any unauthorized access.
3. Subscriptions, trials and billing
Paid plans are billed in advance on a monthly or annual basis at the prices shown when you subscribe. Free trials last for the period stated at signup. If a subscription is not activated when a trial ends, access to the Service may be restricted until billing is completed; your data is retained as described below. Fees are non-refundable except where required by law or stated otherwise in writing. We may change prices with at least 30 days' notice before your next renewal.
4. Payment processing
AutoSync Pay is provided through Stripe. Using AutoSync Pay requires you to accept Stripe's Connected Account Agreement. Processing fees, payouts, disputes and chargebacks are governed by that agreement. AutoSync does not store full card numbers.
5. Your data
You own the data you and your customers put into the Service ("Customer Data"). You grant AutoSync a limited license to host, process and transmit Customer Data solely to provide and support the Service. You may export your data at any time while your account is active. After cancellation we retain Customer Data for a reasonable period to allow export, after which it is deleted from active systems.
6. Customer communications
You are responsible for obtaining any consent required to send text messages and emails to your customers through the Service and for honoring opt-out requests. Messaging must comply with our Acceptable Use Policy and applicable law.
7. Acceptable use
You agree not to misuse the Service, interfere with its operation, attempt to access other customers' data or use it for unlawful purposes. See the Acceptable Use Policy for details.
8. Third-party services
Integrations with third-party services are provided for your convenience and are subject to those providers' terms. AutoSync is not responsible for third-party services.
9. Availability and support
We work to keep the Service available and secure, and we may perform maintenance that temporarily limits access. Support is available through the channels listed on our contact page.
10. Warranties and liability
The Service is provided "as is" to the extent permitted by law. To the maximum extent permitted by law, AutoSync's total liability for any claim arising from these Terms is limited to the fees you paid in the twelve months before the claim, and neither party is liable for indirect or consequential damages.
11. Termination
You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that violate these Terms or remain unpaid after notice.
